1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “user”), and Mindid LLC (“Company,” “we,” “us,” or “our”), concerning your access to and use of our mental health and wellness app services. You agree that by using our services, you have read, understood, and agree to be bound by all of these Terms of Service.
These Terms apply to all visitors, users, and others who access or use our services. By accessing or using any part of our services, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access our services.
IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING OUR SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.
2. User Responsibilities and Mental Health Warranty
- Mental Health Warranty: You warrant that you are mentally capable of engaging in our mental health and wellness app services and have no legal or regulatory restrictions that would prevent you from receiving our services. You affirm that you have consulted with appropriate mental health professionals regarding your participation in our services.
- Disclosure: You agree to fully disclose any and all mental health information, wellness goals, challenges, and other relevant information to our team before commencing any services. This includes but is not limited to: current mental health status, treatment history, medications, and any other factors that may affect your use of our services.
- Conduct: You agree to conduct yourself in a respectful and professional manner at all times. We reserve the right to terminate services immediately and without refund for any conduct deemed inappropriate, unsafe, or harassing to our staff or other users. This includes but is not limited to: inappropriate behavior, harassment, or any behavior that compromises the safety or comfort of others.
- Compliance: You agree to comply with all applicable laws, regulations, and industry standards related to mental health and wellness services. You are responsible for ensuring that your use of our services complies with all relevant legal and regulatory requirements.
- Documentation: You are responsible for maintaining accurate records of your mental health journey and progress. We recommend keeping all wellness documentation for at least seven years for personal reference and healthcare purposes.
3. Purchases, Payments, and Billing
- Payment Terms: All mental health and wellness app services and subscriptions must be paid for in full prior to the commencement of services. We accept cash, credit cards, and digital payment methods as specified in our Payment Policy.
- Pricing: All prices are listed in U.S. Dollars (USD) and are subject to change without notice, though changes will not affect services already purchased. Prices do not include applicable taxes, which will be added to your total.
- Sales Finality: All sales are final, subject only to the terms outlined in our separate Refund & Cancellation Policy. No exceptions will be made outside of these terms.
- Non-Transferable: Services are non-transferable and may not be shared with other individuals. Each service package is assigned to a specific user and cannot be used by anyone else.
- Service Packages: Service packages are subject to the same terms and conditions as regular services and must be used within the specified timeframe.
4. Service Scheduling, Cancellation, and Modifications
- Cancellation Policy (The 24-Hour Rule): We require a minimum of 24 hours’ notice to cancel or reschedule a consultation or service appointment. Any appointment cancelled with less than 24 hours’ notice, or a missed appointment (no-show), will be forfeited and are non-refundable.
- Lateness Policy: If you are late to an appointment, the service will end at its originally scheduled time. If you are more than 15 minutes late without prior notification, the appointment may be considered a no-show and forfeited at our discretion.
- Service Cancellation: If we must cancel a service due to unforeseen circumstances, we will make every effort to notify you promptly, and the service will be rescheduled at no cost to you.
- Emergency Closures: In the event of severe weather or emergency situations that require us to close, all services will be rescheduled at no cost to you.
- Service Confirmation: We will send service confirmations via email or text message. It is your responsibility to confirm your appointment and notify us of any changes.
5. Service Expiration and Usage
All mental health and wellness app services are valid for 12 months from the date of purchase. Any services not used within this period will expire and are non-refundable. We recommend scheduling your services in advance to ensure availability and to maximize the benefits of your mental health and wellness journey.
Services cannot be extended beyond the expiration date except in cases of documented emergencies with proper documentation from a licensed professional.
6. Mental Health Services and Procedures
- Service Suitability: We reserve the right to refuse or modify services based on your mental health status, wellness goals, or other factors that may affect the appropriateness or effectiveness of our services.
- Service Modifications: We may modify services based on your preferences, mental health status, or wellness goals. Any modifications will be discussed with you before implementation.
- Mental Health Recommendations: You are responsible for making your own mental health decisions. Our services provide information and support, but all mental health decisions are ultimately your responsibility.
- Service Results: Individual results may vary based on your mental health status, wellness goals, and other individual characteristics. We do not guarantee specific results from any service.
7. Intellectual Property
All custom mental health and wellness programs, assessment tools, educational materials, and other content provided to you are the sole and exclusive intellectual property of Mindid LLC. These materials are for your personal use only and may not be copied, shared, distributed, or sold without our express written consent.
Our website and app content, including text, graphics, logos, images, and software, is protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without permission.
8. Privacy and Confidentiality
We are committed to protecting your privacy and maintaining the confidentiality of your personal and mental health information. Our Privacy Policy, which is incorporated into these Terms by reference, explains how we collect, use, and protect your information.
All information shared during consultations, services, or other interactions is kept strictly confidential and will not be shared with third parties except as required by law or as specified in our Privacy Policy.
9. Term and Termination
This agreement begins upon purchase and ends upon the completion of all services or the expiration of the service package. We reserve the right to terminate this agreement and your services at any time for a breach of these terms, with no refund issued.
Upon termination, you will no longer have access to our services, and any unused services will be forfeited unless otherwise specified in our Refund Policy.
10. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any dispute arising from these Terms shall be resolved through binding arbitration in San Diego County, CA, in accordance with the rules of the American Arbitration Association.
You agree that any legal action or proceeding arising out of or relating to these Terms or our services shall be brought exclusively in the courts of San Diego County, California.
11. Disclaimer and Limitation of Liability
Our services are provided on an “as-is” basis. Our separate **Disclaimer** and **Privacy Policy** are hereby incorporated by reference into these Terms of Service. Please review them carefully.
In no event will Mindid LLC or its team members be liable for any losses, damages, or consequences resulting from your mental health decisions, including but not limited to: mental health issues, emotional distress, or any other damages.
Our total liability to you for any claims arising out of or relating to these Terms or our services shall not exceed the amount you paid for the specific service giving rise to the claim.
12. Force Majeure
We shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature, acts of God, acts of war, terrorism, strikes, labor disputes, or any other cause which is beyond our reasonable control.
13. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
14. Entire Agreement
These Terms, together with our Privacy Policy, Payment Policy, and Refund Policy, constitute the entire agreement between you and Mindid LLC regarding the use of our services and supersede all prior agreements and understandings.
